本利用規約（以下「本規約」）は、Unsui（以下「本アプリ」）の利用条件を定めるものです。本アプリの利用開始時に同意いただくことで、あなたと運営者との間で本規約が成立します。本規約に同意いただけない場合は本アプリをご利用いただけません。

1. 利用資格

本アプリは13歳以上の方を対象とします。未成年の方は、親権者等の同意のうえでご利用ください。本規約に同意し契約を締結する法的能力があることを表明したものとみなします。

2. ライセンス

運営者は、本規約に従って本アプリを個人的・非商業的に利用するための、譲渡不能・非独占・取消可能な限定的ライセンスを付与します。本アプリは Apple App Store を通じて提供される「ライセンスされたアプリケーション」であり、Apple の標準 EULA の適用がある場合、その条件も併せて適用されます。

3. 禁止事項

次の行為を禁止します：法令・公序良俗に反する利用、第三者の権利侵害、リバースエンジニアリングや不正アクセス、自動化された大量アクセス、他者への有害・違法・差別的内容の生成を目的とした利用、本アプリの運営を妨げる行為。

4. AI 生成コンテンツと非助言

本アプリおよび AI（雲水）の応答は、一般的な情報と内省の補助を目的としたものであり、医療・心理・法律その他の専門的助言ではなく、診断・治療・カウンセリングの代替にもなりません。AI の応答は誤りや不適切な内容を含むことがあります。ご自身の判断と責任においてご利用ください。緊急時は速やかに地域の緊急連絡先または相談窓口へご連絡ください。

5. ユーザーコンテンツ

あなたが入力した記録・ジャーナル・対話の内容（以下「ユーザーコンテンツ」）の権利はあなたに帰属します。あなたは運営者に対し、本サービスの提供（保存・表示・AI 応答生成のための処理）に必要な範囲で、ユーザーコンテンツを利用するための非独占的ライセンスを付与します。

6. サブスクリプションと課金

有料機能は Apple App Store のアプリ内課金を通じて提供されます。支払い・自動更新・解約は App Store アカウントの設定に従います。価格・更新条件は購入時に表示されます。返金は原則として Apple のポリシーに従います。

7. 保証の否認（現状有姿）

本アプリは「現状有姿（AS-IS）」かつ「提供可能な範囲」で提供され、運営者は、商品性・特定目的適合性・非侵害・正確性・可用性を含む明示黙示の一切の保証を、適用法令が許す最大限の範囲で否認します。AI の応答の正確性・有用性・適合性について保証しません。

8. 責任の制限

適用法令が許す最大限の範囲で、運営者は、本アプリの利用または利用不能から生じる間接損害・付随的損害・特別損害・結果的損害・逸失利益について責任を負いません。運営者の累積責任の総額は、直近12か月にあなたが本アプリに支払った金額（無償の場合は相当額）を上限とします。ただし、運営者の故意または重大な過失に起因する損害については、本条による責任の制限・免除は適用されません。本条は、消費者契約法その他適用法令上放棄できない消費者の権利を制限するものではありません。

9. 補償

あなたは、本規約への違反または不正・違法な利用に起因して運営者に生じた請求・損害・費用（合理的な弁護士費用を含む）について、適用法令が許す範囲で運営者を補償し、防御し、免責するものとします。

10. 終了

あなたはいつでもアプリ内の「設定 ＞ アカウントを削除」から利用を終了できます。運営者は、本規約への重大な違反等がある場合、合理的な範囲で利用を停止・終了できます。終了後も、性質上存続すべき条項（保証否認・責任制限・補償・準拠法）は有効に存続します。

11. 準拠法と紛争解決

本規約は日本法に準拠します。紛争が生じた場合、まず privacy@unsui.app を通じた誠実な協議による解決を試みます。解決しない場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。本条は、あなたの居住地の法令上放棄できない権利・管轄を奪うものではありません。

12. 米国在住者向け特則（仲裁・クラスアクション放棄）

米国在住の方と運営者との間の本アプリに関する紛争は、まず privacy@unsui.app を通じた誠実な協議による解決を試みます。解決しない場合、当該紛争は、適用される仲裁規則に基づく拘束力のある個別仲裁により最終的に解決されるものとし、あなたと運営者は、集団・代表・併合手続の原告または構成員としてではなく、各自個別の立場でのみ請求を行うことに同意します（クラスアクションの放棄）。ただし、(a) 少額裁判所の管轄内の請求、(b) 差止めその他の衡平法上の救済を求める請求は、この限りではありません。本仲裁条項は、本規約に最初に同意した日から30日以内に privacy@unsui.app へ書面で通知することでオプトアウトできます（オプトアウトしても他の条項は有効に存続します）。なお、お住まいの州の強行法規上放棄できない消費者保護は優先して適用され、本特則はこれを制限しません。米国在住者のプライバシーに関する権利は、プライバシーポリシー第11項に従います。

13. 本規約の変更

運営者は本規約を改定することがあります。重要な変更がある場合はアプリ内等で通知し、必要に応じて再同意をお願いします。改定後の継続利用は、変更への同意とみなされます。

These Terms of Service (the “Terms”) govern your use of Unsui (the “App”). By agreeing when you begin using the App, you enter into these Terms with the operator. If you do not agree, you may not use the App.

1. Eligibility

The App is intended for users aged 13 or older. Minors must use it with the consent of a parent or guardian. You represent that you have the legal capacity to agree to these Terms and enter into this contract.

2. License

The operator grants you a limited, non-transferable, non-exclusive, revocable license to use the App for personal, non-commercial purposes under these Terms. The App is a “Licensed Application” provided via the Apple App Store; where Apple’s standard EULA applies, its terms also apply.

3. Acceptable use

You must not: use the App unlawfully or contrary to public order; infringe others’ rights; reverse engineer or gain unauthorized access; perform automated bulk access; attempt to generate harmful, illegal, or discriminatory content directed at others; or interfere with the operation of the App.

4. AI content and no professional advice

The App and its AI companion provide general information and reflective support only. They are not medical, psychological, legal, or other professional advice, and are not a substitute for diagnosis, treatment, or counseling. AI responses may contain errors or inappropriate content. Use your own judgment and discretion. In an emergency, promptly contact your local emergency number or a support line.

5. Your content

You retain rights to the records, journals, and dialogues you enter (“User Content”). You grant the operator a non-exclusive license to use your User Content as needed to provide the service (storage, display, and processing for AI response generation).

6. Subscriptions and billing

Paid features are offered via Apple App Store in-app purchases. Payment, auto-renewal, and cancellation are governed by your App Store account settings. Pricing and renewal terms are shown at purchase. Refunds are generally subject to Apple’s policies.

7. Disclaimer of warranties (AS-IS)

The App is provided “AS-IS” and “as available,” and the operator disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability, to the maximum extent permitted by applicable law. We do not warrant the accuracy, usefulness, or suitability of AI responses.

8. Limitation of liability

To the maximum extent permitted by applicable law, the operator is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, arising from your use of or inability to use the App. The operator’s total cumulative liability is limited to the amount you paid for the App in the preceding 12 months (or a nominal amount if free). However, this limitation or exclusion does not apply to damages caused by the operator’s willful misconduct or gross negligence. Nothing in this section limits consumer rights that cannot be waived under the Consumer Contract Act or other applicable law.

9. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold the operator harmless from claims, damages, and costs (including reasonable attorneys’ fees) arising from your breach of these Terms or your wrongful or unlawful use.

10. Termination

You may end your use at any time via “Settings ＞ Delete Account.” The operator may suspend or terminate access where there is a material breach of these Terms, within reason. Provisions that by their nature should survive (disclaimer, limitation of liability, indemnification, governing law) continue after termination.

11. Governing law and disputes

These Terms are governed by the laws of Japan. In case of a dispute, we will first attempt a good-faith resolution via privacy@unsui.app. If unresolved, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance. This section does not deprive you of any rights or forum that cannot be waived under the laws of your place of residence.

12. U.S. residents (arbitration; class action waiver)

Any dispute between a U.S. resident and the operator relating to the App will first be addressed through good-faith negotiation via privacy@unsui.app. If unresolved, the dispute shall be finally resolved by binding individual arbitration under the applicable arbitration rules, and you and the operator each agree to bring claims only in an individual capacity, and not as a plaintiff or member in any class, representative, or consolidated proceeding (class action waiver). This does not apply to (a) claims within the jurisdiction of a small claims court, or (b) claims seeking injunctive or other equitable relief. You may opt out of this arbitration provision by sending written notice to privacy@unsui.app within 30 days of first agreeing to these Terms (opting out does not affect the other provisions). The mandatory consumer protections of your state of residence that cannot be waived continue to apply and prevail, and this section does not limit them. California residents’ privacy rights are governed by Section 11 of the Privacy Policy.

13. Changes to these Terms

The operator may revise these Terms. We will notify you of material changes within the App or by other means and, where appropriate, ask you to re-consent. Continued use after changes constitutes acceptance.
